What is an Employer of Record in Bangladesh?

An Employer of Record (EOR) in Bangladesh is a locally registered company that legally employs staff on behalf of a foreign business. The EOR holds the employment contract, runs monthly payroll in taka, withholds income tax for the National Board of Revenue and administers Provident Fund, gratuity and festival bonuses, while the client directs the employee's daily work.

The model exists because employing someone in Bangladesh requires a registered local employer with a tax identification number, a bank account and a payroll that follows the Bangladesh Labour Act 2006 and the Income Tax Act 2023. A foreign company without an entity has none of these. Nexus Payroll supplies all of them under one fixed monthly fee, and the employee experiences a normal, permanent Bangladeshi job with a compliant contract, payslips and statutory benefits.

An EOR is different from a PEO, which co-employs staff with a client that already has its own entity, and from a contractor arrangement, which leaves the worker outside employment law and exposes the client to misclassification claims.

Compliance facts

What must an employer pay and provide for staff in Bangladesh?

Bangladesh employers must pay Provident Fund contributions where a fund exists, accrue gratuity, grant statutory leave and festival bonuses, withhold personal income tax monthly and follow fixed notice and compensation rules on termination. The figures below are cited to the Bangladesh Labour Act 2006, the Labour Rules 2015 and the Income Tax Act 2023.

Provident Fund

Workers contribute 7% to 8% of basic wages and the employer matches the amount equally. Since the 2025 amendment, establishments with 100 or more permanent workers must constitute a fund or enrol staff in the national Progoti pension scheme.

Gratuity

A minimum of 30 days’ wages for every completed year of service, rising to 45 days’ wages per year once service exceeds ten years, payable on separation.

Termination notice

Employers must give a permanent monthly-rated worker 120 days’ written notice (or pay in lieu) and pay compensation of 30 days’ wages per completed year of service, in addition to any gratuity.

Leave entitlements

Workers receive 10 days casual leave, 14 days sick leave and 13 days paid festival holidays each year, plus earned annual leave of one day per 18 days worked (one per 14 days in factories since the 2025 amendment).

Personal income tax

For assessment year 2026-27 the first BDT 375,000 of income is tax-free (BDT 425,000 for women and taxpayers aged 65+); income above that is taxed in progressive bands from 10% to 30%. Employers must withhold monthly and deposit with the NBR.

Work permits for foreign staff

Foreign nationals need an E-visa and a BIDA work permit applied for through the One Stop Service portal, then a security clearance that is deemed granted if no objection is raised within 21 working days. Commercial offices may employ up to one foreigner per five local staff.
